Shareholders’ meeting resolutions can be challenged not only when they approve something unlawful, but also when they deny what should have been approved. A still largely uncharted area, marked by doctrinal uncertainties and evolving case law.
This will be the focus of our Alessandro Pomelli, who will speak during the first day of the seminar series “Three Seminars on Corporate and Insolvency Law“, organised by the Osservatorio Veneto del Diritto d’Impresa.
His contribution will focus on the challenge of negative shareholders’ meeting resolutions: current state of the art, theoretical aspects and practical issues in light of the most recent developments in legal scholarship and case law.
