Continental Investment Partners, Independent sponsor of private equity transactions with a focus on the biomedical sector, through its Healthcare Capital Partners VII SCSp fund, has completed the acquisition of the Gruppo AlfaMed, a leading operator in the medical-surgical, biomedical and electromedical devices sector, headquartered in the Marche region, in Porto San Giorgio.
The transaction involved the acquisition of 100% of AlfaMed S.r.l., 100% of AlfaMed International Sagl and 25% of MDE S.r.l., and was structured through Caesar BidCo S.r.l., a special purpose vehicle incorporated for the acquisition of the AlfaMed Group, in which Continental Investment Partners holds a 65% equity interest, while the founding shareholders, Alessandro Alessandrini and Stefano Sabbatini, reinvested part of the consideration by acquiring the remaining 35% of the share capital.
This ownership structure is intended to ensure the operational and managerial continuity of the Group.
The transaction was also completed with the support of a syndicated financing, coordinated by Iccrea Banca S.p.A. as mandated lead arranger and agent bank, together with Banca del Piceno Società Cooperativa and Banca del Fucino S.p.A.
