01. Corporate Law

Our corporate team provides continuous advice in all phases of the company’s activities: from its foundation to the definition of the governance structure and shareholder agreements, with BLF’s assistance including, amongst other things:

– definition of corporate forms based on the clients’ needs

– establishment of limited liability companies, partnerships, and cooperative companies

– drafting of the relevant articles of association and by-laws

– definition and management of all aspects of corporate governance

– drafting of shareholders’ agreements

– preparation of incentive plans and agreements with managers

– participation in shareholders’ meetings and boards of directors meetings.

03. Start-up and SMEs

BLF provides a team dedicated to start-ups and small and medium-sized enterprises with particular reference to legal assistance in raising capital also through fintech instruments such as equity crowdfunding.

BLF is able to structure operations of issuing mini bonds, debentures or debt instruments to allow companies to raise resources in order to finance their projects.


04. Cooperative Law

The cooperative law shows some peculiarities distinguishing it from the law of profit-making companies.

BLF constantly assists some of the main cooperatives in their local area and have gained extensive experience in the field of cooperative law and in the regulation of relations between the company and its shareholders.
