Formed from the merger of Unicoop Tirreno and Coop Centro Italia, Unicoop Etruria now counts 780,000 cooperative members, 5,800 employees, and over 170 stores across five regions: Tuscany, Umbria, Lazio, Marche, and Abruzzo. The newly established cooperative has an estimated annual turnover of around one billion euros, aiming to reinforce the Coop brand as a key economic and social player in the areas it serves.
BLF Studio Legale with a team composed of Senior Partner Pier Luigi Morara, Partner Antonella Pecora and Partner Andrea Corbelli assisted throughout the merger process that led to the creation of Unicoop Etruria.
BLF advised on all corporate, statutory, and regulatory aspects of the merger, working in close synergy with the internal teams of both cooperatives to ensure a smooth transition aligned with the founding values of the cooperative movement.
BLF played a key role in defining the new governance structure: the dualistic model adopted—featuring a clear division between the Supervisory Board and the Management Board—is one of the most innovative and distinctive elements of the transaction. The adoption of this model within a cooperative with such a broad membership base was considered particularly suitable for enhancing the role of members and ensuring greater transparency and effectiveness in pursuing mutualistic goals.
The new governance is led by Simonetta Radi, Chair of the Supervisory Board, and Gianni Tarozzi, Chair of the Management Board.
