{"id":13991,"date":"2026-02-03T15:49:41","date_gmt":"2026-02-03T14:49:41","guid":{"rendered":"https:\/\/www.blfstudiolegale.it\/?p=13991"},"modified":"2026-02-03T17:21:54","modified_gmt":"2026-02-03T16:21:54","slug":"gruppo-clerici-acquisitions-italy","status":"publish","type":"post","link":"https:\/\/www.blfstudiolegale.it\/en\/gruppo-clerici-acquisitions-italy\/","title":{"rendered":"BLF Studio Legale assisted Gruppo Clerici in a series of M&amp;A transactions."},"content":{"rendered":"\n<p class=\"wp-block-paragraph\"><strong>Gruppo Clerici<\/strong>, la leading Italian distributor of hydronic, sanitary and bathroom furnishing products, continues its growth strategy through a series of extraordinary transactions, strengthening its presence across multiple areas in Italy.<\/p>\n\n<p class=\"wp-block-paragraph\">The acquisitions, led by President and CEO <strong>Paolo Clerici<\/strong> and CFO <strong>Fabio Ciccarelli<\/strong>, are part of a targeted development strategy that in recent years has seen Clerici expand through selective transactions across various Italian regions.<\/p>\n\n<p class=\"wp-block-paragraph\">NSpecifically, Gruppo Clerici acquired <strong>100% of the share capital of Termoidraulica Agostini e Figli Srl<\/strong>, a long-established distributor of hydronic and sanitary products based in Rome; <strong>ARYA Group SPA<\/strong>, which offers a portfolio of advanced technologies and systems in the <em>Heating, Climate and Green segments<\/em>, with solutions aimed at reducing CO\u2082 emissions; <em><strong>Lazioterm Srl<\/strong><\/em>, a leading distributor of hydronic and thermal products operating in the Lazio region; and <strong>Home Distribuzione Srl<\/strong>, headquartered in Ciampino (Rome), active in the distribution of surface materials and sanitary fixtures, with a focus on wholesale supply for the hydronic and professional bathroom sector.<\/p>\n\n<p class=\"wp-block-paragraph\">The Group subsequently entered into a binding agreement for the acquisition of <strong>100% of Puntoclima S.p.A.<\/strong>, a company active since 1997, operating through three sales outlets in the Lazio region, located between Rome and Pomezia, and primarily serving installers and professional operators in the sector.<\/p>\n\n<p class=\"wp-block-paragraph\">In January 2026, Clerici finally completed, directly or through its subsidiaries, the acquisition of <strong>100% of the share capital of Madeddu Edilizia S.r.l.<\/strong>, a company based in Alghero and active in the wholesale and retail trade of construction and hydronic materials, as well as the acquisition of the operating \u201cITS\u201d business units of <strong>Ferramenta Vico<\/strong> and <strong>Edilceramica Eugubina S.r.l.<\/strong><\/p>\n\n<p class=\"wp-block-paragraph\"><\/p>\n\n<blockquote class=\"wp-block-quote is-layout-flow wp-block-quote-is-layout-flow\">\n<p class=\"wp-block-paragraph\"><strong>BLF Studio Legale<\/strong>, with a team composed of partner <a href=\"https:\/\/www.blfstudiolegale.it\/en\/team\/giulio-pinetti\/\"><strong><span style=\"text-decoration: underline;\">Giulio Pinetti<\/span><\/strong><\/a>, senior associate <strong><a href=\"https:\/\/www.blfstudiolegale.it\/en\/team\/francesco-ludergnani\/\"><strong><span style=\"text-decoration: underline;\">Francesco Ludergnani<\/span><\/strong><\/a><\/strong> and associate <strong><strong><span style=\"text-decoration: underline;\"><a href=\"https:\/\/www.blfstudiolegale.it\/en\/team\/gaetano-ruvolo\/\">Gaetano Ruvolo<\/a><\/span><\/strong><\/strong>, has assisted <strong>Gruppo Clerici<\/strong>, in the series of extraordinary operations .<\/p>\n<\/blockquote>\n","protected":false},"excerpt":{"rendered":"<p>Gruppo Clerici, la leading Italian distributor of hydronic, sanitary and bathroom furnishing products, continues its growth strategy through a series of extraordinary transactions, strengthening its presence across multiple areas in Italy.
