{"id":13912,"date":"2026-01-12T13:25:04","date_gmt":"2026-01-12T12:25:04","guid":{"rendered":"https:\/\/www.blfstudiolegale.it\/?p=13912"},"modified":"2026-01-12T13:32:01","modified_gmt":"2026-01-12T12:32:01","slug":"merchant-capital-acquires-gruppo-alfamed","status":"publish","type":"post","link":"https:\/\/www.blfstudiolegale.it\/en\/merchant-capital-acquires-gruppo-alfamed\/","title":{"rendered":"Continental\u00a0Investment Partners acquires Gruppo AlfaMed"},"content":{"rendered":"\n<p class=\"wp-block-paragraph\"><strong>Continental&nbsp;Investment Partners<\/strong>, Independent sponsor of private equity transactions with a focus on the biomedical sector, through its <strong>Healthcare Capital Partners VII SCSp<\/strong> fund, has completed the acquisition of the <strong>Gruppo AlfaMed<\/strong>, a leading operator in the medical-surgical, biomedical and electromedical devices sector, headquartered in the Marche region, in Porto San Giorgio.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The transaction involved the acquisition of 100% of <strong>AlfaMed S.r.l.<\/strong>, 100% of <strong>AlfaMed International Sagl<\/strong> and 25% of <strong>MDE S.r.l.<\/strong>, and was structured through <strong>Caesar BidCo S.r.l.<\/strong>, a special purpose vehicle incorporated for the acquisition of the AlfaMed Group, in which Continental&nbsp;Investment Partners holds a 65% equity interest, while the founding shareholders, <strong>Alessandro Alessandrini<\/strong> and <strong>Stefano Sabbatini<\/strong>, reinvested part of the consideration by acquiring the remaining 35% of the share capital.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">This ownership structure is intended to ensure the operational and managerial continuity of the Group.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The transaction was also completed with the support of a syndicated financing, coordinated by <strong>Iccrea Banca S.p.A. <\/strong>as mandated lead arranger and agent bank, together with <strong>Banca del Piceno Societ\u00e0 Cooperativa<\/strong> and <strong>Banca del Fucino S.p.A.<\/strong><\/p>\n\n\n\n<blockquote class=\"wp-block-quote is-layout-flow wp-block-quote-is-layout-flow\">\n<p class=\"wp-block-paragraph\"><strong>BLF Studio Legale<\/strong> advised the purchaser on all legal aspects of the transaction, with a team comprising partners <strong><span style=\"text-decoration: underline;\"><a href=\"https:\/\/www.blfstudiolegale.it\/en\/team\/giulio-pinetti\/\">Giulio Pinetti<\/a><\/span><\/strong> e <strong><span style=\"text-decoration: underline;\"><a href=\"https:\/\/www.blfstudiolegale.it\/en\/team\/andrea-corbelli\/\">Andrea Corbelli<\/a><\/span><\/strong> dal senior associate<strong> <a href=\"https:\/\/www.blfstudiolegale.it\/en\/team\/davide-placido-geraci\/\">Davide Geraci<\/a><\/strong> e dall\u2019associate <strong><a href=\"https:\/\/www.blfstudiolegale.it\/en\/team\/gaetano-ruvolo\/\">Gaetano Ruvolo<\/a>.<\/strong><\/p>\n<\/blockquote>\n\n\n\n<p class=\"wp-block-paragraph\"><\/p>\n","protected":false},"excerpt":{"rendered":"<p>Continental&nbsp;Investment Partners, Independent sponsor of private equity transactions with a focus on the biomedical sector, through its Healthcare Capital Partners VII SCSp fund, has completed the acquisition of the Gruppo AlfaMed, a leading operator in the medical-surgical, biomedical and electromedical devices sector, headquartered in the Marche region, in Porto San Giorgio.
